Standard terms & conditions
Terms for the supply of goods and services by 3iS Transport.
Last updated 22 October 2026.
These terms apply to every quotation, order and contract under which THREEISQUARED LTD (company number 08640292), trading as 3iS Transport (“3iS”, “we”, “us”) supplies goods, installation or other services to a customer (“the Customer”, “you”). They are for business and public sector customers only.
1. Interpretation
In these terms: Contract means the contract between 3iS and the Customer for the supply of Goods and/or Services under these terms; Goods means the products we supply, including bus shelters, displays, lighting, bins, street furniture and parts; Services means the services we provide, including surveys, design, installation, commissioning, maintenance, repair and cleaning; Order means the Customer’s purchase order or written acceptance of our quotation; Site means the location where Goods are to be delivered or Services performed; Specification means any description or specification of the Goods or Services agreed in writing.
2. Basis of contract
- Our quotations are valid for 30 days from their date unless they say otherwise, and are not offers capable of acceptance until we confirm an Order in writing.
- The Contract is formed when we confirm the Order in writing, or when we begin work, whichever is earlier.
- These terms apply to the exclusion of any other terms the Customer seeks to impose, except where the Customer’s framework agreement, call-off contract or other signed contract with us expressly applies. Where such a contract applies, its terms prevail over these terms to the extent of any conflict.
- Descriptions, illustrations and specifications in our brochures, datasheets and website are for guidance only and do not form part of the Contract unless expressly included.
3. Goods
- The Goods will correspond with the Specification in all material respects.
- We may make changes to the Goods that are needed to comply with law or safety requirements, or that result from a manufacturer’s product changes, provided they do not materially affect quality or performance. We will tell you of any such change.
4. Services
- We will perform the Services with reasonable skill and care, in accordance with good industry practice and applicable law, including the CDM Regulations where they apply.
- We will use reasonable endeavours to meet agreed dates, but dates are estimates and time is not of the essence unless agreed in writing.
- We may use subcontractors and members of our specialist supply chain to deliver Goods and perform Services. We remain responsible for their work under the Contract.
5. Customer obligations
The Customer will:
- provide accurate information about the Site, including the location of underground services, ground conditions, existing structures and any hazards;
- obtain and maintain any permissions, licences, consents, traffic management approvals and road space bookings needed for the work, unless we have agreed in writing to do so;
- give us safe access to the Site at the agreed times, with any power, data connections or facilities agreed in the Specification;
- co-operate with us in all matters relating to the Services.
If our work is prevented or delayed by the Customer’s failure to meet these obligations, we may extend the programme accordingly and charge for reasonable costs incurred as a result, including aborted visits.
6. Delivery
- We will deliver the Goods to the Site or other agreed location. Delivery is complete when the Goods are unloaded there.
- The Customer will inspect the Goods on delivery and notify us in writing of any visible damage or shortfall within 5 working days.
- If the Customer fails to accept delivery on the agreed date, we may store the Goods and charge reasonable storage and redelivery costs.
7. Risk and title
- Risk in the Goods passes to the Customer on delivery, or on completion of installation where we are installing them.
- Title to the Goods passes to the Customer when we have received payment in full for them. Until then, the Customer will keep the Goods insured and identifiable as our property.
8. Price and payment
- The price is as set out in our quotation or Order confirmation. Prices exclude VAT, which is payable at the applicable rate.
- We will invoice on delivery of Goods, on completion of Services, or at the stages agreed in the Contract. For maintenance and other recurring Services we may invoice monthly or quarterly in advance, as agreed.
- Invoices are payable within 30 days of the invoice date, unless the Contract or applicable public sector payment terms state otherwise.
- We may charge interest on late payments under the Late Payment of Commercial Debts (Interest) Act 1998.
- Work outside the agreed scope, including changes requested by the Customer and work made necessary by unforeseen Site conditions, will be charged as a variation at our then-current rates, agreed in advance wherever practicable.
9. Warranty
- We warrant that the Goods will be free from material defects in design, materials and workmanship for 12 months from delivery, or for the manufacturer’s warranty period stated in the Specification where that is longer (for example, 5 years for the 3iS-M50).
- Where Goods are manufactured by a third party, we will pass on the benefit of the manufacturer’s warranty and handle claims on the Customer’s behalf.
- We warrant that installation work will be free from defects in workmanship for 12 months from completion.
- If the Customer notifies us in writing of a defect within the warranty period, we will repair or replace the defective Goods or re-perform the defective Services, at our option. This is the Customer’s sole remedy for defective Goods or Services.
- The warranty does not cover damage caused by vandalism, accident, misuse, neglect, fair wear and tear, alteration or repair by anyone other than us, failure to follow our or the manufacturer’s instructions, or Site conditions outside the Specification. Batteries and consumables are covered for the period stated by their manufacturer.
10. Limitation of liability
- Nothing in the Contract limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of the terms implied by section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982, or any other liability that cannot be limited by law.
- Subject to clause 10.1, we are not liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profit, revenue, business or anticipated savings, or for any indirect or consequential loss.
- Subject to clause 10.1, our total liability under or in connection with each Contract is limited to the total price paid and payable under that Contract.
- Terms implied by sections 13 to 15 of the Sale of Goods Act 1979 and sections 3 to 5 of the Supply of Goods and Services Act 1982 are excluded to the fullest extent permitted by law.
11. Termination
- Either party may terminate the Contract by written notice if the other commits a material breach and does not remedy it within 30 days of being asked to, or becomes insolvent.
- Either party may end a maintenance or other recurring Services agreement by giving at least 3 months’ written notice, unless the agreement sets a different term.
- On termination, the Customer will pay for Goods delivered, Services performed, and Goods ordered specifically for the Customer that cannot be cancelled or returned.
12. Force majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including extreme weather, epidemic, war, civil unrest, fire, flood, failure of utilities, shortage of materials, or delay by a manufacturer or carrier for reasons beyond our control. The affected party will notify the other promptly and take reasonable steps to limit the effect.
13. Confidentiality and data protection
- Each party will keep confidential any information it receives from the other that is marked confidential or is obviously confidential, except where disclosure is required by law, including under the Freedom of Information Act 2000 or the Environmental Information Regulations 2004.
- Each party will comply with its obligations under UK data protection law. Where we process personal data on the Customer’s behalf, for example from CCTV or other systems we install or maintain, the parties will agree data processing terms that meet the requirements of the UK GDPR.
14. Intellectual property
Designs, drawings, specifications and other documents we prepare remain our property (or our licensors’). The Customer may use them for the purposes of the project for which they were supplied, including operating and maintaining the installed infrastructure.
15. General
- Neither party may assign the Contract without the other’s written consent, which will not be unreasonably withheld, except that we may subcontract under clause 4.3.
- Any variation to the Contract must be agreed in writing by both parties.
- If any provision is found invalid, the rest of the Contract is unaffected.
- A failure or delay in exercising a right does not waive it.
- No one other than the parties has any right to enforce the Contract under the Contracts (Rights of Third Parties) Act 1999.
- Notices must be in writing and sent to the address or email address stated in the Order or quotation.
16. Law and jurisdiction
The Contract, and any dispute arising from it, is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
